Responsibilities
- Lead the creation, review, and finalization of customer contracts, including SaaS agreements, on-premise licenses, data processing addendums, security schedules, master service agreements, vendor contracts, non-disclosure agreements, and partner or reseller arrangements.
- Design standardized templates, negotiation guidelines, and alternative positions to streamline contract workflows and improve efficiency.
- Work closely with go-to-market teams to speed up deal closures while maintaining appropriate legal risk and compliance standards.
- Support corporate legal functions such as board administration, entity governance, and legal structuring for international operations.
- Collaborate with the Chief Operating Officer and external legal advisors on equity matters, funding rounds, and capital raising activities, including convertible instruments and preferred stock issuances.
- Provide legal oversight for mergers and acquisitions, including due diligence, transaction execution, and post-deal integration planning.
- Coordinate with the COO and human resources on employment-related documents, hiring policies, and global workforce compliance.
- Oversee the organization’s intellectual property portfolio, covering trademarks, copyrights, and open source software licensing obligations.
- Advise on the development and enforcement of internal policies, employee handbooks, and adherence to regulatory requirements such as export controls and data protection laws.
- Establish structured processes for managing the end-to-end contract lifecycle.
- Track evolving legal and regulatory developments to identify potential risks and ensure ongoing compliance.
- Act as a trusted legal resource for executive leadership and department heads across the organization.

Qualifications
- Juris Doctor degree from an accredited law school and active bar membership.
- 8+ years of legal experience, with a focus on technology transactions, corporate law, or in-house legal roles at tech companies.
- Proven experience negotiating complex commercial agreements and managing vendor and partner contracts.
- Strong understanding of data privacy laws, intellectual property, and open source compliance.
- Experience supporting fundraising, equity transactions, or M&A activities is highly desirable.
- Familiarity with international business expansion and global employment laws.
- Excellent communication skills with the ability to advise non-legal stakeholders clearly and effectively.
