People Can Fly is hiring a Legal Counsel (General, Corporate & Securities)

Responsibilities

  • Prepare and provide advice and legal drafting on company law matters for each member of the Group (e.g. draft resolutions, meeting minutes, draft documents necessary to keep company records in different jurisdictions up to date), using external advisers where necessary
  • Prepare and provide advice to our public listed companies regarding securities law, including ad-hoc and inside reporting, disclosure/compliance for Annual, SemiAnnual and Quarterly Reports, corporate governance and duties of managers, as well as WSE rules, using external advisers where necessary
  • Observe and comply with all MAR related obligations
  • Draft and review a range of legal documents (such as commercial terms and contracts, including financing, insurance, business contracts with external suppliers and service providers, corporate documents, letters/statements in court and administrative proceedings, internal procedures and policies, ongoing correspondence etc.)
  • Analyze business and legal conditions and the associated risks
  • Monitor changes in the law applicable to the Group's activities and organization
  • Verify and ensure the compliance of legal documentation with internal policies, procedures and legal requirements
  • Support other members of the Legal Team in their ongoing projects and tasks. Cooperate with members of other teams to identify, analyze and deliver required legal support for the organization. Participate in internal team meetings as well as meetings with external contractors, as needed
  • Cooperate with external legal advisors (from both Polish and other jurisdictions) on entrusted matters, as needed
  • Perform other projects and duties as assigned

Requirements

  • Specialization in securities and corporate laws
  • Ability to provide practical and comprehensive legal advice and research
  • High level of independence and ability to comprehensively handle various tasks
  • Focus on corporate governance matters and securities law compliance
  • Experience with business contracts from various jurisdictions
  • Experience with financing contracts (credits, loans, leasing)
  • Experience with insurance-related legal matters
  • Basic understanding of online services, privacy and data processing
  • Solid legal knowledge
  • Strong work ethic
  • Ability to cooperate with team members and work with various teams across the organization
  • Ability to operate independently
