This role is responsible for ensuring robust corporate governance and compliance across a global group of entities. You will manage statutory obligations, maintain accurate corporate records, and support the effective functioning of the Board of Directors. The position requires a proactive approach to monitoring regulatory changes and maintaining compliance across diverse legal jurisdictions.
Key Responsibilities
- Prepare and file statutory documentation to meet legal and regulatory requirements in multiple countries.
- Manage and update statutory registers, including those for directors, shareholders, beneficial owners, and charges.
- Track changes in corporate legislation and advise on their impact across jurisdictions.
- Support compliance for all group entities in line with local regulatory frameworks.
- Coordinate board and committee meetings, including agenda preparation, distribution of board materials, and accurate minute-taking.
- Document and archive board resolutions and key corporate decisions.
- Assist with the formation, restructuring, and closure of legal entities as needed.
- Oversee share-related processes such as allotments, transfers, and issuance of certificates.
- Maintain records of ultimate beneficial ownership and support external providers with regulatory reporting.
- Perform and manage KYC and due diligence checks for directors, shareholders, and third parties.
- Keep due diligence files current and compliant with internal policies and regulatory standards.
- Complete compliance questionnaires for banks, regulators, and other external organisations.
- Communicate regularly with legal advisors, auditors, financial institutions, and corporate service providers worldwide.
- Provide support to internal stakeholders on entity management and governance matters.
- Assist with opening bank accounts and fulfilling documentation requests related to compliance.
Qualifications and Experience
- Degree in Law, Business, Corporate Governance, or a related field.
- Proven background in company secretarial or corporate administration, preferably within a multinational environment, legal practice, or corporate services firm.
- Strong knowledge of corporate governance principles and cross-jurisdictional compliance.
- Excellent organisational abilities with a focus on accuracy and thoroughness.
- Clear and effective communication skills, both written and verbal.
- Comfort using digital tools, governance software, and entity management systems.
- Ability to work autonomously while handling confidential information responsibly.
- Self-motivated with a commitment to continuous learning and professional growth.
Preferred Background
- Professional certification such as ICSA, or active progress toward obtaining one, is a strong advantage.
